1. Applicability 

These Terms of Use (hereinafter "Terms of Use") apply only to the use of our websites within the professional context and the use of our B2B products and services such as BE-Entertainment, DataLab, DPG Ad Manager, DPG Grow, DPG Brand Studio, Brandfacts, DPG Direct or Certified 

DPG Media Group NV (hereinafter "DPG Media") is an internationally operating company with its registered office at Mediaplein 1, 2018 Antwerp, consisting of, among others, the following companies: 

  • DPG Media B.V., having its registered office and principal place of business at Jacob Bontiusplaats 9, 1018 LL Amsterdam;

  • DPG Media NV, with registered office at Mediaplein 1, 2018 Antwerp.

These Terms of Use apply to the entity of DPG Media whose website you are accessing or whose products you are using, unless those products are the subject to a separate agreement. 

By visiting the website(s) or using our products, you tacitly, irrevocably and unconditionally agree to the applicability of these Terms of Use. By creating an account to use our products, you expressly agree to these Terms of Use. 

DPG Media can change these Terms of Use at any time, for example in the context of changes to our websites and products. The changed Terms of Use are valid from the moment they are published. The publication date of the latest version of the Terms of Use can be found at the top of this page. We therefore recommend that you regularly check the Terms of Use.

2. Account

In some cases, using our products and services requires the creation of an account. You are required to provide certain information, such as your name and email address. You warrant that you will maintain and update the information you provide for your account so that it is always accurate and complete. 

Your login data (username and password) are strictly personal. It is not allowed to exploit the login data or to give it to third parties. If you suspect that your login details have leaked to third parties, you are obliged to inform DPG Media immediately via privacy@dpgmedia.be. 

At all times DPG Media has the right to temporarily or permanently block an account, for example when a user, in the opinion of DPG Media, violates these Terms of Use. 

3. Access to and use of our website(s) and products.

DPG Media's website(s) and products may only be used for lawful purposes. You are not permitted to:

  • infringe on the (intellectual) property rights of DPG Media;

  • perform actions that interfere with the use by other users of the services and products;

  • spread spam, viruses or other malware that (may) damage the services or products; 

  • bypass or disrupt the security of our services and products;

  • use means to search or index (parts of) our services, products, websites and apps, such as robots or spiders. Search engines must adhere to the robot.txt protocol;

  • assume a false identity. 

In case of non-compliance with one or more of these rules of conduct, DPG Media reserves the right to deny you access to its website(s) and products. 

4. Intellectual property rights

All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork and computer code relating to our services (collectively, "Content"), including but not limited to the design, structure, selection, coordination, expression, "look and feel" and arrangement of such Content located on our website(s) and products, including all intellectual property rights in the Content, is owned, controlled or licensed by or to DPG Media.

DPG Media grants you a personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to use the services and products for the sole purpose of accessing and using the products, displaying the content of the products and, for example, creating audiences for targeted advertising through DPG Media.

Reproduction, disclosure, distribution, copying or any other use, other than in the context mentioned in the paragraph above, are not permitted without prior written permission from DPG Media. This licence to use expires immediately upon termination of your account.

DPG Media has the right, but not the obligation, to refuse access to information or to remove information if, in the sole judgement of DPG Media, there is a (possible) infringement of third party rights.

5. Disclaimer

The website(s) and products are provided "as is." DPG Media makes no representations or warranties as to the results to be obtained from the use of its website(s), products or content. Its use is at your own risk.

To the fullest extent permitted by law, DPG Media disclaims all express and implied warranties, including, without limitation, warranties of title, non-infringement, merchantability, timeliness, accuracy and fitness for a particular purpose. DPG Media does not warrant that your use of the website(s) and products will be uninterrupted, error-free or secure, or that the servers hosting the website(s) and products or related software are free of viruses or other harmful components. 

6. Liability

To the extent permitted by law, and to the extent DPG Media is deemed responsible for any damages, DPG Media shall never be held liable for indirect or consequential damages such as, but not limited to, loss of profits, loss of opportunity, loss of data, loss of business.

DPG Media is not liable for outages, viruses, announced or unannounced interruptions or errors in or overloading of the network. We recommend that you always install and update the necessary anti-virus and other security software on your devices. DPG Media reserves the right to optimise or modify at any time and without notice the content, structure, scope, name, sections, technical features and accessibility of the website(s) and products. Any temporary delay, unavailability or delayed operation as a result cannot give rise to any damages or other financial compensation. 

DPG Media is in no way liable for the contributions sent by users for publication, nor for the messages and information sent by users. DPG Media is not able to exercise full control over this content in advance. DPG Media may decide to remove content immediately without prior notice or prior consultation with the persons concerned. If DPG Media considers it appropriate or if requested to do so, DPG Media will provide all necessary information and data to police and judicial authorities regarding illegal or infringing contributions of users.

DPG Media will use all reasonable means to ensure that access to its website(s) and products, the security, the reliability and the proper functioning of the website(s) and products are as uninterrupted as possible. DPG Media will determine the most technically appropriate means of providing the website(s) and products. DPG Media does not guarantee uninterrupted and undisturbed use of the website(s) and products. Circumstances may arise, such as (and without being limited to) network overload, as a result of which the website(s) and products are temporarily not (fully) available. You should also note that if the Internet or similar networks are used, outages and/or unavailability of connections to the public Internet and/or other telecommunications networks may hinder the use of the website(s) or products or parts thereof. The maintenance and development of the website(s) and products may require DPG Media to restrict or interrupt the website(s) and products for a certain period of time, without DPG Media owing you any compensation as a result. DPG Media commits itself to the best of its ability - and as far as reasonably possible - to inform you in time.

7. Termination

DPG Media may decide to suspend or terminate your account if you do not comply with these Terms of Use. It is in no way obliged to justify this refusal or termination. The details of your account may be transmitted to police forces and judicial authorities if DPG Media deems it necessary or requests it in connection with illegal or infringing acts or content communicated by you.

8. Miscellaneous

DPG Media has the right to change not only the technical features, but also the modalities of the websites and products. Such a change is not considered a substantial modification. In no case will DPG Media be liable for compensation because of these changes.

The invalidity of one or more provisions of these terms and conditions shall not affect the validity of the remaining provisions. In the event that one or more provisions are invalid or inapplicable, they will be replaced by one or more provisions of equivalent effect.

9. Privacy

11. Final Provisions

These Terms of Use and any disputes related thereto or to the use of the websites, services and products shall be governed by Dutch or Belgian law, depending on the location of the entity from which you obtain services. In line with the foregoing, the courts of Amsterdam and Antwerp, respectively, shall have exclusive jurisdiction with respect to such disputes. However, in the event of a dispute or complaint, you agree to contact us prior to any legal proceedings to try to find an amicable solution to the complaint or dispute.
